Welcome to Finexly. These Terms of Service ("Terms") govern your access to and use of the Finexly website, API services, and any related services (collectively, the "Service"). Please read these Terms carefully before using our Service.

Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

Finexly offers a currency exchange rate API service that provides real-time and historical exchange rate data for over 170 global currencies. The Service includes:

  • Real-time exchange rate data through REST API
  • Historical exchange rate data
  • Currency conversion endpoints
  • Time-series data for trend analysis
  • Online currency conversion tool

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service without liability.

Account Registration and Security

To access certain features of the Service, you must create an account. By creating an account, you agree to:

  • Provide accurate, up-to-date, and complete information
  • Keep your information accurate by maintaining and updating it.
  • Keep your API keys and login credentials confidential
  • Notify us immediately of any unauthorized access to your account
  • You are responsible for all activities under your account.

We reserve the right to suspend or terminate any account at any time if we believe the account information is inaccurate, or if the account is being used in violation of these Terms.

Subscription Plans and Payment

Finexly provides multiple subscription plans, including a free tier with limited requests. Paid plans offer more API requests, higher rate limits, and premium features.

Billing

Paid subscriptions are billed monthly in advance. You authorize us to charge your chosen payment method for all applicable fees. All fees are non-refundable unless otherwise stated or required by law.

Price Adjustments

We may modify our subscription prices at any time. Price changes will be notified in advance and will take effect at the beginning of the next billing cycle. Your continued use of the Service after a price change indicates acceptance of the new pricing.

Cancellation

You can cancel your subscription anytime via your dashboard. After cancellation, you'll keep access to paid features until the end of your current billing cycle. No refunds for partial months.

5. API Usage Guidelines

When using the Finexly API, you agree to the following terms:

  • Adhere to the rate limits outlined in your subscription plan
  • Use your API keys solely for your own applications and services.
  • Do not share, sell, or transfer your API keys to third parties.
  • Do not attempt to bypass rate limits or security measures
  • Do not use automated tools to create multiple accounts
  • Do not reverse engineer, decompile, or disassemble the Service
  • Implement reasonable caching to reduce unnecessary API calls

Violation of these API usage rules may result in immediate suspension or termination of your account without refund.

6. Data Accuracy and Disclaimer

While we strive to provide accurate and timely exchange rate data sourced from reputable financial institutions and data providers, we make no warranties or representations regarding the accuracy, completeness, reliability, or timeliness of the data provided.

Exchange rates provided through our Service are for informational purposes only and should not be used as the sole basis for making financial decisions, trades, or transactions. We strongly recommend verifying exchange rates with official sources before conducting any financial transactions.

We are not liable for any losses, damages, or costs resulting from inaccuracies, errors, or delays in the exchange rate data, including but not limited to trading losses, missed opportunities, or incorrect calculations.

Intellectual Property

The Service, including its original content, features, functionality, design, and underlying technology, is owned by Finexly and is protected by international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and the data provided through it solely for your internal business purposes.

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or its content without our prior written consent. The Finexly name, logo, and all related trademarks are our property and may not be used without permission.

Prohibited Uses

You agree not to use the Service:

  • For any illegal purpose or in violation of any applicable laws
  • Violating the rights of others, including intellectual property rights
  • To distribute malware, viruses, or other harmful code
  • Interfere with or disrupt the integrity of the Service
  • Gaining unauthorized access to our systems or other users' accounts
  • Gathering or collecting user information without consent
  • To resell or redistribute the data without permission
  • Creating a competing service using our data

Limitation of Liability

The service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent allowed by law, Finexly is not responsible for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, resulting from or related to your use of the service.

Our total liability to you for any claims arising from or related to the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred US dollars ($100), whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless Finexly, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable laws or third-party rights; or (d) any content you submit through the Service.

Termination

You can close your account anytime by reaching out to us or via your account settings. We may end or suspend your access to the Service immediately, without notice or liability, for any reason, including but not limited to violating these Terms.

Upon termination, your right to use the Service will end immediately. All provisions of these Terms that should naturally survive termination will remain in effect, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Privacy

Changes to Terms

Governing Law and Dispute Resolution

These Terms are governed by and interpreted according to the laws of Germany, excluding its conflict of law rules. Any disputes related to these Terms or the Service will be settled through binding arbitration or in German courts, and you agree to the exclusive jurisdiction of these courts.

If you're a consumer in the European Union, you may also have the right to initiate proceedings in your country of residence. These Terms do not affect your rights as a consumer under applicable local laws.

15. Miscellaneous

These Terms represent the complete agreement between you and Finexly concerning the Service and override all previous agreements and understandings.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

You cannot assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
