Welcome to Finexly. These Terms of Service ("Terms") govern your access to and use of the Finexly website, API services, and any related services (collectively, the "Service"). Please read these Terms carefully before using our Service.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Finexly provides a currency exchange rate API service that delivers real-time and historical exchange rate data for over 170 world currencies. The Service includes:

  • Real-time exchange rate data via REST API
  • Historical exchange rate data
  • Currency conversion endpoints
  • Time-series data for trend analysis
  • Online currency converter tool

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service without liability.

3. Account Registration and Security

To access certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Keep your API keys and login credentials confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate any account at any time if we believe the account information is inaccurate, or if the account is being used in violation of these Terms.

4. Subscription Plans and Payment

Finexly offers various subscription plans, including a free tier with limited requests. Paid subscription plans provide additional API requests, higher rate limits, and premium features.

Billing

Paid subscriptions are billed in advance on a monthly basis. You authorize us to charge your selected payment method for all applicable fees. All fees are non-refundable unless otherwise stated or required by law.

Price Changes

We may change our subscription prices at any time. Price changes will be communicated in advance and will take effect at the start of the next billing cycle. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

Cancellation

You may cancel your subscription at any time through your dashboard. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds will be provided for partial months.

5. API Usage Rules

When using the Finexly API, you agree to the following rules:

  • Comply with the rate limits specified in your subscription plan
  • Use your API keys only for your own applications and services
  • Not share, sell, or transfer your API keys to third parties
  • Not attempt to bypass rate limits or security measures
  • Not use automated tools to create multiple accounts
  • Not reverse engineer, decompile, or disassemble the Service
  • Implement reasonable caching to minimize unnecessary API calls

Violation of these API usage rules may result in immediate suspension or termination of your account without refund.

6. Data Accuracy and Disclaimer

While we strive to provide accurate and timely exchange rate data sourced from reputable financial institutions and data providers, we make no warranties or representations regarding the accuracy, completeness, reliability, or timeliness of the data provided.

Exchange rates provided through our Service are for informational purposes only and should not be used as the sole basis for making financial decisions, trades, or transactions. We strongly recommend verifying exchange rates with official sources before conducting any financial transactions.

We are not responsible for any losses, damages, or costs arising from inaccuracies, errors, or delays in the exchange rate data, including but not limited to trading losses, missed opportunities, or incorrect calculations.

7. Intellectual Property

The Service, including its original content, features, functionality, design, and underlying technology, is owned by Finexly and is protected by international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and the data provided through it solely for your internal business purposes.

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or its content without our prior written consent. The Finexly name, logo, and all related trademarks are our property and may not be used without permission.

8. Prohibited Uses

You agree not to use the Service:

  • For any unlawful purpose or in violation of any applicable laws
  • To infringe on the rights of others, including intellectual property rights
  • To transmit malware, viruses, or other harmful code
  • To interfere with or disrupt the integrity of the Service
  • To gain unauthorized access to our systems or other users' accounts
  • To harvest or collect user information without consent
  • To resell or redistribute the data without authorization
  • To create a competing service using our data

9. Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINEXLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Finexly, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable laws or third-party rights; or (d) any content you submit through the Service.

11. Termination

You may terminate your account at any time by contacting us or through your account settings. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Privacy

13. Changes to Terms

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration or in the courts located in Germany, and you consent to the exclusive jurisdiction of such courts.

If you are a consumer in the European Union, you may also be entitled to bring proceedings in your country of residence. Nothing in these Terms shall affect your rights as a consumer under applicable local laws.

15. Miscellaneous

These Terms constitute the entire agreement between you and Finexly regarding the Service and supersede all prior agreements and understandings.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
